1. Acceptance of Terms

By registering an account, integrating your WhatsApp number, or using our services at /login, you agree to comply with and be bound by these Terms.

2. Description of Service

DhandhaDesk is a multi-tenant business software platform that provides shared WhatsApp inbox management, customer interaction tools, automated replies, team collaboration, and business catalog features utilizing the official Meta WhatsApp Business Cloud API.

3. WhatsApp & Meta Platform Compliance

Mandatory WhatsApp Policy Adherence: Your use of DhandhaDesk is subject to Meta's WhatsApp Business Policy, WhatsApp Commerce Policy, and Technical Terms. Sending unsolicited bulk messages, spam, unlawful promotions, or abusive content is strictly prohibited.

You expressly acknowledge and agree:

Opt-In Consent: You must maintain verifiable opt-in consent from end customers before initiating proactive communication over WhatsApp.
Account Suspension for Spam: If your WhatsApp Business Account receives repeated spam reports, user blocks, or is restricted by Meta, DhandhaDesk reserves the right to suspend or terminate service access without liability.
Conversation Charges: Charges levied directly by Meta for WhatsApp Business initiated conversations are the merchant's responsibility in accordance with Meta's official rate card.

4. User Accounts, Team Roles & Responsibilities

Account Integrity: You must provide accurate registration details (name, business verification, phone number, email) and maintain the confidentiality of authentication tokens and login sessions.
Owner & Manager Liability: Account Owners and Managers are solely responsible for actions performed by invited Staff members within their tenant organization.
Permitted Business Categories: Only legitimate business activities complying with local laws and WhatsApp Commerce Guidelines are allowed. Regulated or banned categories (gambling, unregulated crypto, counterfeit goods, adult services) are strictly rejected.

5. Fees & Subscription Plans

Pricing for DhandhaDesk plans (Basic and Premium) is displayed in our official pricing schedule or customized enterprise quotation. In the pre-launch phase, rates are designated as announced. Subscription charges are billed in advance on a recurring monthly or annual basis unless cancelled.

6. Intellectual Property & License

DhandhaDesk and its proprietary software, logos, user interfaces, documentation, and algorithms remain the exclusive intellectual property of [OWNER LEGAL NAME]. You are granted a revocable, non-exclusive, non-transferable license to access the platform during your paid subscription period.

7. Limitation of Liability

To the maximum extent permitted by applicable law, DhandhaDesk shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from third-party API downtime (including Meta/WhatsApp platform outages), network failures, or unauthorized access to customer devices.

8. Termination

You may cancel your subscription at any time via your account settings. DhandhaDesk reserves the right to immediately terminate or suspend accounts that violate these Terms, engage in fraud, or compromise system stability.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
